MEMBER CONDUCT AND APPROPRIATE CONTENT

You agree that Universalclipart, including any appointed personnel, may at any time without notice cancel a registrant, move or suspend the Website in whole or in part, and/or disclose any material or content contained on the Website if it considers it necessary to enforce these T&Cs.

PROPRIETARY RIGHTS

Universalclipart does not claim any ownership rights in any Materials that you submit, post, or display on or through the Universalclipart site. After submitting, posting or displaying Materials on or through the Universalclipart site, you continue to retain all ownership rights in such Materials, and you continue to have the right to use your Materials in any way you choose. By submitting, posting or displaying any Materials on or through the Universalclipart site, you hereby grant to Universalclipart, in consideration for using the Universalclipart site, a non-exclusive, fully-paid, royalty-free, sub-licensable, worldwide, perpetual licence to use, modify, publicly perform, publicly display, reproduce, and distribute such Materials solely on and through the Universalclipart site (the "License"). Universalclipart shall not be responsible for any connection or access to the Website by you or the quality of the transmission of any information passing between you and the Website. You will be responsible for providing your own communications equipment to access the Website via the internet, and the internet access charges thereon.

COMPENSATION

You agree to compensate in full, and at Universalclipart’s request defend, Universalclipart, its parents, subsidiaries, and affiliates, and their respective owners, officers, managers, members, agents, and employees, from and against any third party claim (or potential claim) arising from or in any way related to your use of or conduct on the Universalclipart site, including any liability or expense arising from all claims, liabilities, losses, damages (actual and consequential), suits, judgments, litigation costs, expenses, and legal fees, of every kind and nature. Under no circumstances shall Universalclipart be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war or acts of terrorism, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air conditioning. In such an event, we reserve the right to cancel or suspend the Universalclipart site without incurring any liability.
Except insofar as these T&Cs expressly provide that a third party may in their own right enforce a term of these T&Cs, a person who is not a party to these T&Cs has no right under local law or statute to rely upon or enforce any term of these T&Cs but this does not affect any right or remedy of a third party which exists or is available other than under local law or statute.
